How does investing through Invown work?

Investing on Invown follows the Regulation Crowdfunding (Reg CF) process. Reg CF offerings on the site are conducted through Invown Funding Portal LLC, an SEC-registered funding portal and FINRA member. The process happens online, and you pay no transaction fees when you invest through Invown.

  1. Review the offering materials. Each issuer’s Form C and related required information is publicly available on the platform — you do not need an account to read it. Review the business, the risks, the terms of the security, the target amount, and the deadline.
  2. Open an account. An account is required before you can make an investment commitment. Before you can make an investment commitment, you also consent to electronic delivery, review investor education materials, and complete required acknowledgements, including confirming that you understand you could lose your entire investment.
  3. Confirm your limits. If you are a non-accredited investor, Reg CF caps how much you can invest across all Reg CF offerings during a 12-month period, based on your annual income and net worth.
  4. Commit funds. You sign one or more documents with the issuer, such as a subscription or investment agreement, and send funds directly to the qualified third party designated for the offering. Invown Funding Portal LLC does not hold your money — investor funds are held in escrow with Enterprise Bank until closing.
  5. Watch for notices. You may cancel your commitment for any reason until 48 hours before the offering deadline, subject to material-change and early-closing rules. If the offering does not close, your committed funds are returned.
  6. After closing. You receive a transaction confirmation at or before completion of the transaction, and the issuer must generally file an annual report each year until its reporting obligation ends.

Keep the risks in view. Private securities are speculative, may be illiquid, and can result in the loss of your entire investment, and Reg CF securities generally may not be transferred for one year, with limited exceptions.
