Do I need to be an accredited investor to invest?

No — not for every offering. Regulation Crowdfunding (Reg CF) offerings on Invown run through Invown Funding Portal LLC, an SEC-registered funding portal and FINRA member, and anyone can invest in them, subject to annual investment limits based on your income and net worth. You pay no transaction fees when you invest through Invown, and your funds are held in escrow with Enterprise Bank until the offering closes.

Accreditation only matters for certain other private offerings, so it helps to know where you stand.

Who counts as accredited

You qualify as an accredited investor if you meet one of these tests:

  • Income: more than $200,000 individually (or $300,000 jointly with a spouse or partner) in each of the prior two years, with a reasonable expectation of the same level this year.
  • Net worth: over $1 million, individually or jointly, excluding the value of your primary residence.
  • Professional credentials: a Series 7, Series 65, or Series 82 license in good standing.
  • Insider status: you are a director, executive officer, or general partner of the company issuing the securities.

When accreditation matters

Some private placements restrict who can participate. Rule 506(b) offerings can include up to 35 non-accredited investors, though those investors must be sophisticated — able to evaluate the investment on its merits. Rule 506(c) offerings, which allow general solicitation, require third-party verification of accredited status, meaning a CPA, attorney, registered broker-dealer, or investment adviser confirms your income or net worth. If an offering requires accredited status, expect a verification step before you can invest.
