How much can I invest in Reg CF offerings?
If you are a non-accredited investor, federal rules cap how much you can invest in Regulation Crowdfunding (Reg CF) offerings. The limit applies across all Reg CF offerings — on Invown and every other platform — during the 12-month period preceding the transaction, including the investment you are about to make.
The limits for non-accredited investors
- If either your annual income or your net worth is below $124,000, you may invest the greater of $2,500 or 5% of the greater of your annual income or net worth.
- If both your annual income and your net worth are at least $124,000, you may invest up to 10% of the greater of the two, but not more than $124,000 in total.
These dollar amounts are the current thresholds and can change over time. You and your spouse, or spousal equivalent where applicable, may calculate income and net worth jointly, but you are then treated as a single investor for the aggregate limit.
A worked example
Say your annual income is $80,000 and your net worth is $140,000. One of those values is below $124,000, so the first rule applies: you may invest the greater of $2,500 or 5% of $140,000 (the larger figure), which is $7,000, across all Reg CF offerings during the relevant 12-month period.
What about accredited investors?
Accredited investors are not subject to the same Reg CF individual investment limits, though offering-specific or platform-specific restrictions may still apply.
Your responsibility
The calculation depends on your circumstances and the information you provide. You are responsible for truthful, accurate representations about your income, net worth, accreditation status, and other Reg CF investments. Whatever your limit, keep in mind that private securities are risky, may be illiquid, and can result in the loss of your entire investment — only invest money you can afford to lose.
