How do I vet an offering before I invest?
Vetting an offering, often called due diligence, means checking the people, the numbers, and the documents before you commit money. A disciplined review does not remove the risk of investing, but it helps you decide based on facts rather than marketing.
Start with the people
The sponsor or founding team is often the most important factor. Ask how many deals or ventures they have completed, what earlier investors actually received compared with what was projected, and whether there is any litigation or regulatory history. Favor track records that span full market cycles, not only good years.
Read the Form C
Every Reg CF offering files a Form C disclosure with the SEC. You can read it free on the SEC’s EDGAR system or on the offering page. It covers the business, how your money will be used, financial statements, and risk factors. Review the financial statements closely rather than skimming them, and be cautious if the use of funds is vague.
Stress-test the numbers and terms
Projections rest on assumptions such as vacancy rates, exit values, expenses, and growth. Ask what happens if results run worse than planned. Then read the offering terms: who gets paid first, which fees reduce your return, and what rights you have. Reg CF securities are generally illiquid, with no established secondary market, so expect your capital to stay committed for the duration of the hold period.
Know the built-in protections
Reg CF offerings run through an SEC-registered intermediary. On Invown, that is Invown Funding Portal LLC, an SEC-registered funding portal and FINRA member. Your funds are held in escrow with a third-party bank until the offering closes, and the offering materials spell out the conditions under which commitments can be cancelled and funds returned.
