Can I invest through my IRA or other retirement account?

Yes. You can invest in Reg CF offerings on Invown using a retirement account, provided your account and its custodian allow private investments. Account types investors commonly use include:

  • Self-directed IRA (SDIRA) — an IRA that lets you choose investments beyond stocks and bonds.
  • Solo 401(k) — for self-employed people or business owners with no employees.
  • SEP IRA — lets self-employed people and small-business owners make tax-deductible contributions.
  • SIMPLE IRA — for small businesses with up to 100 employees; both employer and employee can contribute.
  • eQRP — a qualified plan for business owners and the self-employed, with greater investment flexibility.
  • Employer 401(k) or 403(b) — only if the plan permits self-directed private investments, so ask your plan administrator first.

What your custodian will ask for

Self-directed retirement accounts are often managed by a custodian or account company, and the custodian will usually request documents before approving an investment. Many custodians are more familiar with private placements than with Reg CF, so they tend to ask for private-placement documents by name. As a general rule, the information they need is in the issuer’s Form C — the disclosure document filed with the SEC before the offering opens. You can find it on the SEC’s EDGAR site and in the due diligence documents section of the offering page on Invown.

Here is how common custodian requests map to a Reg CF offering:

  • Company state filing — available on request from the issuer, or in the offering page’s due diligence documents.
  • Operating agreement — included in the Form C.
  • Private placement memorandum (PPM) — the information a PPM would disclose, including risks and terms, is in the Form C.
  • Subscription agreement — emailed to you after you make your investment commitment.
  • Investor questionnaire — you complete this during checkout on Invown.

Before you invest

Retirement accounts carry their own tax rules, and self-directed investing can have consequences specific to your situation, so talk to your tax adviser before committing funds. Reg CF offerings on Invown run through Invown Funding Portal LLC, an SEC-registered funding portal and FINRA member, and investor funds are held in escrow with a third-party bank until closing.
