Can I cancel my investment after committing, and until when?

Yes, within a set window. For Regulation Crowdfunding offerings on Invown, you can cancel an investment commitment for any reason until 48 hours before the offering deadline stated in the issuer’s offering materials. During the final 48 hours before the deadline, commitments generally cannot be cancelled unless a material change to the offering requires you to reconfirm.

When you make a commitment, you receive a notice confirming the amount, the price of the securities if known, the issuer’s name, and the date and time by which you can cancel. Keep that notice — it is your reference point for the deadline.

If the offering terms change

If there is a material change to the offering terms or the issuer’s information after you commit, you will be notified, and your commitment will be cancelled unless you reconfirm it within five business days of receiving the notice. If you do not reconfirm in that window, your commitment is cancelled and your funds are returned.

If the offering closes early

An issuer that reaches its target amount ahead of schedule may close early only under specific conditions, including that the offering has been open for at least 21 days, investors are given notice, the new deadline is at least five business days after that notice, and you can still cancel until 48 hours before the new deadline.

Where your money is until closing

Until the offering closes, your funds are held in escrow with a third-party bank designated for the offering (Enterprise Bank & Trust or Luminate Bank, as applicable). Invown Funding Portal LLC, the SEC-registered funding portal and FINRA member that conducts Reg CF offerings on Invown, does not hold investor funds. If you cancel in time, your funds are returned, and if the offering does not close — for example, the issuer does not reach its target — you receive a cancellation notice and the return of committed funds is directed.

Once a Reg CF offering closes, the cancellation window is over. The securities generally cannot be transferred for one year, with limited exceptions, and these investments are speculative, illiquid, and can result in the loss of your entire investment — so review the offering carefully before the deadline passes.
