Help Center/Investing on Invown
The offering didn’t reach its minimum — when and how do I get my money back?
If a Regulation Crowdfunding offering ends without reaching its target amount — the minimum stated in the issuer’s Form C — your investment commitment is cancelled and your money is returned. You do not need to request the refund or take any other step to trigger it.
Where your money sits in the meantime
When you commit to a Reg CF offering on Invown, your funds do not go to the issuer, and Invown Funding Portal LLC does not hold them. They are held in escrow with a third-party bank — Enterprise Bank & Trust or Luminate Bank, as applicable to the offering — a qualified third party that has agreed to hold, transmit, or return investor funds as required. Investors pay no transaction fees.
When the money comes back
Under SEC rules, if an issuer does not complete an offering, the intermediary must within five business days send you a cancellation notice stating the reason and the refund amount you are expected to receive, and direct the refund of your funds. Reg CF offerings on Invown run through Invown Funding Portal LLC, an SEC-registered funding portal and FINRA member.
Invown has not published a fixed end-to-end timeline for when returned funds post back to your account, and processing time can vary with the payment method you used. If a refund you are expecting has not arrived, contact support with the offering name and your commitment confirmation.
Other ways a commitment can be cancelled
- You may cancel your commitment for any reason until 48 hours before the offering deadline, subject to early-closing and material-change rules.
- If there is a material change to the offering after you commit, you will be notified; unless you reconfirm within five business days, your commitment is cancelled and your funds are returned.
A returned commitment is not a return on investment. Once an offering does close and funds are released to the issuer, your money is invested and at risk, including the possible loss of your entire investment.
