What should I have ready before my raise goes live?

Before a Regulation Crowdfunding (Reg CF) raise can go live, you file a Form C with the SEC and run the offering through one registered intermediary. On Invown, that is Invown Funding Portal LLC, an SEC-registered funding portal and FINRA member. Getting there is a preparation project, not a single upload. Here is what to have ready.

  • The exact legal issuer. Settle the entity’s legal name, jurisdiction, governing documents, and capitalization record. A brand, property, or operating company may not be the issuing entity.
  • Eligibility confirmed by counsel. The Reg CF limit is up to $5 million in a 12-month period, but the calculation can include earlier sales by the issuer and certain related entities, so do not treat it as automatic.
  • Your intermediary engaged early. Ask for its onboarding list, review stages, and escrow workflow, and track its open questions separately from your own conclusions.
  • Covered people mapped. Officers, directors, and relevant beneficial owners need to be identified for the required background and bad-actor review.
  • Financial statements at the required level. Counsel and an independent accountant determine which statements and what level of accountant involvement apply to your offering.
  • One source of truth. Your Form C draft, campaign page, financials, and public statements should reconcile, with a named owner for each item.
  • Separated communications templates. Pre-filing testing-the-waters materials follow different rules than post-filing notices.
  • A post-launch plan. Assign owners for investor questions, amendments (a material change generally requires a Form C/A and investor reconfirmation), progress updates, and the Form C-AR annual report.

Build in time: the intermediary must make required issuer information publicly available for at least 21 days before any securities are sold, and that period does not cap how long preparation actually takes. Budget for the one-time onboarding and escrow-setup fees on your Invown plan; investor funds are held in escrow with Enterprise Bank until closing.
