What are the steps to launch a Reg CF raise on Invown?
Launching a Regulation Crowdfunding (Reg CF) raise on Invown follows a set sequence. Reg CF offerings run through Invown Funding Portal LLC, an SEC-registered funding portal and FINRA member, so several steps are regulatory filings that Invown helps you complete.
- Create your account. Sign up at invown.com/app.
- Complete the onboarding form. The current form is linked from the Reg CF onboarding steps page.
- Start your listing. Create a “coming soon” listing yourself, or send Invown your deck and pro forma so the team can confirm the deal is suitable for the marketplace and create the listing for you.
- Qualify to go live. Pay the application fee.
- Complete the legal steps. These run alongside step 4:
- Create a Delaware LLC and obtain an EIN, if you do not already have them.
- Create an EDGAR account with the SEC by submitting a Form ID (SEC instructions).
- Prepare an LLC Agreement — you can use Invown’s template.
- Fill out your Form C using the template Invown provides, then submit it to the SEC through the EDGAR portal. Invown facilitates this filing.
- Finalize your listing content on Invown.
- Escrow and background checks. Invown sets up the escrow account, where investor funds are held until closing, and facilitates background checks on the principals or the company.
- Go live and start accepting investments.
