Investor User Agreement
Effective date: May 26, 2026
This Investor User Agreement applies when you create an investor account, review offering materials, submit investment information, sign subscription documents, make an investment commitment, or otherwise use investor services on Invown. By using investor services, you agree to this Agreement, the Terms of Use, the Privacy Policy, the Cookie & Tracking Policy, and the Fees and Compensation Disclosure.

Platform RolesOpen
Regulation Crowdfunding offerings are conducted through Invown Funding Portal LLC where identified in the offering documents. Rule 506(c) and Regulation A offerings are made by the issuer or through the intermediary identified in the applicable offering documents. Invown Corp may provide technology services for non-Regulation Crowdfunding offerings.
Investor RepresentationsOpen
You represent that all information you provide is accurate and complete, that you are legally permitted to invest, that you will comply with investment limits and eligibility requirements, and that you will review all offering documents before investing. For Rule 506(c) offerings, you may be required to qualify as an accredited investor and complete verification before investing.
No Investment AdviceOpen
Invown does not provide investment advice or recommendations and does not endorse any issuer or offering. You must rely on your own review of the issuer, offering documents, risk factors, financial information, subscription agreement, escrow or payment terms, and other materials. You should consult your own financial, tax, legal, and other advisors before investing.
Investment RisksOpen
Investments offered through Invown may be speculative, illiquid, and risky. You may lose your entire investment. Securities may not be freely transferable or resaleable. There may be no market for the securities. Issuers may fail, underperform, change strategy, or be unable to complete the intended business plan. Past performance, testimonials, projections, and target returns do not guarantee future results.
Regulation Crowdfunding DisclosuresOpen
For Regulation Crowdfunding offerings, you must review investor education materials and comply with applicable investment limits. You understand that your ability to cancel an investment commitment and obtain a return of funds may be limited by Regulation Crowdfunding rules and offering terms. You may be required to reconfirm an investment commitment after material changes to an offering. Securities offered under Regulation Crowdfunding have not been recommended or approved by any federal or state securities commission or regulatory authority.
Electronic ConsentOpen
You consent to electronic records, notices, signatures, agreements, confirmations, tax documents, offering communications, cancellation and reconfirmation notices, and other legally required communications. Your electronic signature and click-through acceptance may have the same legal effect as a handwritten signature.
Payment, Escrow, and FundsOpen
Payment and escrow or holding services may be provided by third-party financial institutions, escrow agents, payment processors, or banking providers designated for the applicable offering. These may include Enterprise Bank & Trust, SPPX/North Capital, Luminate, ACH, wire, check, card, or other methods depending on the offering. Invown Funding Portal LLC does not hold investor funds. The applicable offering documents and checkout flow control the actual provider and process.
You authorize Invown and its service providers to share transaction information as needed to process payments, reconcile funds, prevent fraud, satisfy regulatory obligations, maintain records, and support investment administration.
Issuer Marketing AnalyticsOpen
Some listing pages may use issuer marketing analytics or pixels. These tools are controlled by your privacy choices and consent. Marketing providers may receive event-level or pseudonymous data only when allowed. Raw KYC information, banking information, tax ID, Social Security number, address, identity documents, and accreditation documents or status are not shared with marketing providers.

FeesOpen
Investor fees, pass-through payment fees, and offering-specific charges are disclosed in the Fees and Compensation Disclosure, checkout flow, offering documents, or applicable agreement.
