How do I know if I have enough of an audience to raise?

There is no required audience size for a Reg CF raise. No federal Regulation Crowdfunding rule sets a minimum follower or potential-investor count before you prepare an offering, and no audience number can establish eligibility, intermediary acceptance, investor interest, timing, or whether you will reach your target. The better question is whether your audience records are documented, current, and lawful to use.

Measure record quality, not headcount

For each audience source, ask four questions: where did the contact come from, what permission or lawful basis supports the message you plan to send, who controls the record and the delivery channel, and what conclusion the evidence supports without exaggeration. A smaller, current, permission-based list with a clear owner may support better planning than a large, stale list with unknown sources.

Build a source inventory

List each source separately rather than one combined total: customers, newsletter subscribers, event registrants, community or alumni groups, business partners, social followers, website visitors covered by your privacy controls, and any lawfully collected indications of interest. For each, record the approximate count and date checked, how the records were collected, the permission basis, the owner, the available channels, and opt-out controls. Review permissions before choosing a channel: consent to a newsletter may not cover a securities-related email or an advertising audience.

Separate four kinds of evidence

  1. Reachable contacts show a current route to communicate, not interest or investment eligibility.
  2. Engagement signals such as opens or event attendance help you judge channel quality, nothing more.
  3. Indications of interest: before Form C is filed, Rule 206 can permit testing the waters with required statements, but you may not solicit or accept money or any binding or nonbinding commitment, and a response creates no obligation.
  4. Investment commitments arise only after filing, through the intermediary’s platform, subject to investor limits and cancellation rights.

Do not present reach or engagement as likely demand, and avoid dividing your target by an assumed average check to announce how many investors you need. Reg CF also limits what non-accredited investors can invest across their Reg CF investments in a 12-month period.

Timing changes the rules

Keep pre-filing and live-offering messages separate. After filing, Rule 204 limits off-platform advertising of offering terms, and a compliant notice must direct people to the intermediary’s platform. Counsel should review your actual plan.

You are ready for a campaign-planning conversation when every source has an owner, a date, and a permission record, and every audience claim has evidence behind it. Audience readiness cannot predict how many people will invest or whether an offering will close.
