Can I close my offering early or extend the deadline?
Yes to both, though each comes with conditions set by the SEC’s crowdfunding rules rather than by Invown. Here is what to expect.
Closing early
If you reach your target offering amount before the deadline stated in your offering materials, SEC rules let you close the offering early, provided that:
- The offering has been open for at least 21 days. Every Reg CF listing on Invown runs for a minimum 21-day listing period in any case.
- Potential and committed investors receive notice of the new deadline, of their right to cancel for any reason until 48 hours before it, and of whether you will keep accepting commitments during that final 48-hour window.
- The new deadline falls at least five business days after that notice goes out.
- You still meet or exceed your target at the new deadline.
In practice, an early close is never instant: investors get at least five business days’ notice, and their funds stay in third-party escrow until the offering actually closes.
Extending the deadline
Extending your deadline changes the terms of your offering, so it generally requires filing an amendment to your Form C (a Form C/A) with the SEC. Where an amendment reflects material changes, investors who have already committed must reconfirm their commitments within five business days of receiving notice of the change; if they do not, their commitments are cancelled and their funds are returned.
What this means for your raise
Plan your deadline carefully up front. An early close still takes roughly a week from notice to completion, and an extension can put existing commitments back in play through reconfirmation. Once your offering does close, funds are typically released to you in about three days.
