What does a Reg CF raise cost beyond platform fees?
Your Invown plan covers the platform side. Depending on the plan, that includes the monthly subscription, success fee, onboarding, deal review, and escrow setup, all listed on the pricing page. As an example, a $1,000,000 raise open four months on the Syndicator plan costs $28,495 all-in on the platform side, which works out to 2.85% of the amount raised. A full Reg CF budget has more lines than that. Plan for these categories separately:
- Legal and disclosure work. Your Form C describes your business, the securities, use of proceeds, and your financial condition. Depending on your plan, legal documentation may be included, but your own counsel may still need to handle entity cleanup, security terms, amendments, or facts unique to your offering. Get a written scope rather than assuming that included documents cover every task.
- Accounting. The level of financial-statement assurance required depends on the amount offered and sold in reliance on Reg CF during the relevant period, so ask a qualified accountant and counsel to confirm what applies to you. The work can include bookkeeping cleanup, statement preparation, and an independent review or audit when required.
- Payment and transaction costs. Payment processing is a pass-through cost, separate from Invown’s fees. Investor funds are held in escrow with Enterprise Bank until closing; ask how refunds, failed payments, and additional closings are treated.
- Marketing. Writing, design, video, and advertising are optional and budgeted separately. Marketing spend does not establish investor demand or fundraising results.
- Post-close work. After closing, you may have annual reporting (Form C-AR), investor records, and security-administration work. Budget time and professional support for it before the offering closes.
Label every line as fixed, recurring, pass-through, contingent, or percentage-based, tie it to a dated proposal or signed agreement, and keep a reserve for scope changes. Do not treat your target or maximum raise as the amount you will receive.
