What should my offering page include?
Your offering page should give investors one organized place to evaluate a complicated decision: what your company does, why you are raising, how the security works, what supports your claims, and what could go wrong. For a Regulation Crowdfunding (Reg CF) raise the page must stay consistent with your Form C and never replace it. On Invown, Reg CF offerings run through Invown Funding Portal LLC, an SEC-registered funding portal and FINRA member.
The seven sections investors need
- A plain-English business explanation. Product, customer, revenue model, and current stage. If you are pre-revenue, say so plainly.
- A specific use of proceeds. “Growth” is too broad. Break the spend into categories, note who has discretion if allocations may change, and match your Form C.
- Offering terms that are easy to review. Security type, price or pricing method, target amount, maximum, deadline, and whether you accept oversubscriptions. Explain unfamiliar instruments in plain English and link the complete documents.
- Support for every factual statement. Date your results, define what each metric measures — paid orders are not expressions of interest — and name the source behind market figures. Remove anything you cannot support.
- A team section tied to execution. Verifiable roles, organizations, and dates, consistent with your filed officer, director, and ownership disclosures.
- Material risks, grouped and readable. Cover the business, finances, the security and dilution, operations, and the speculative, illiquid nature of the investment. Summarize for navigation, but never minimize or omit filed risks.
- One clear next step. A single primary action into the intermediary’s regulated investment flow, not competing buttons.
Visuals and video should explain something real — how the product works, how proceeds are allocated — with captions, dates, and sources, never implying enthusiasm makes an investment safe.
Language to keep off the page
FINRA Funding Portal Rule 200(c) bars false, exaggerated, unwarranted, promissory, or misleading claims, and omitting a material qualification can itself mislead. Do not predict investment or offering performance, promise a closing amount or date, or call the investment safe, approved, or endorsed. Proposed business forecasts or targets need separate intermediary and counsel review before they appear. Under Reg CF Rule 204, off-platform ads that include offering terms are limited to a notice directing investors to the intermediary.
Before you launch
Re-read the whole page in context — missing qualifications change how statements read. Confirm the terms summary matches the filed documents, every claim has current support, the page works on mobile, analytics carry no personal information, and your intermediary and counsel approved the final version. If page and filing diverge, fix the page.
